1 Description of Services

GovCon AI ("Company", "we", "us", or "our") provides an AI-powered government contracting intelligence platform accessible at govcon.leadflowaiautomation.com (the "Platform").

The Platform includes, but is not limited to:

• Automated SAM.gov opportunity discovery and qualification
• AI-powered bid/no-bid scoring and analysis
• Proposal generation and document drafting assistance
• Contract and solicitation document processing
• Reporting, notifications, and pipeline management tools

2 Eligibility & Account Registration

By registering for an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into this agreement on behalf of yourself or your organization
• All registration information you provide is accurate and complete
• You will maintain the accuracy of such information

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@leadflowaiautomation.com of any unauthorized use.

We reserve the right to refuse registration or terminate accounts at our sole discretion.

3 Acceptable Use Policy

You agree to use the Platform only for lawful purposes. You must not:

• Use the Platform to violate any federal, state, or local law or regulation, including the Federal Acquisition Regulation (FAR) or Defense Federal Acquisition Regulation Supplement (DFARS)
• Submit false, misleading, or fraudulent information in any proposal or registration
• Attempt to gain unauthorized access to any portion of the Platform or its underlying systems
• Reverse engineer, decompile, or disassemble any part of the Platform
• Resell, sublicense, or commercially exploit the Platform without our written consent
• Upload or transmit viruses, malware, or any other malicious code
• Interfere with the integrity or performance of the Platform
• Scrape, harvest, or collect data from the Platform in bulk without written authorization

4 Payment, Billing & Refunds

Free Trial. Subscription plans include a 7-day free trial. Your credit card will not be charged until the trial period ends. You may cancel at any time before the trial ends to avoid any charge.

Subscription Plans. After the trial period, your plan will automatically renew on a monthly basis at the rate shown at signup. Prices are in USD and exclude applicable taxes.

One-Time Purchase. Lifetime access plans are a single, non-recurring charge. Payment is due in full at the time of purchase.

Payment Processing. All payments are processed securely by Stripe. We do not store your full card details on our servers. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Refund Policy.

• Free trial cancellations before the trial ends: no charge, no refund needed
• Subscription charges within 48 hours of first billing: eligible for a full refund upon written request
• Subscription charges after 48 hours: no refunds for partial billing periods
• One-time lifetime purchases: no refunds after access is granted

5 Intellectual Property

Our IP. The Platform, including all software, algorithms, designs, workflows, and content provided by us, is the exclusive property of LeadFlow AI Automation and is protected by copyright, trade secret, and other intellectual property laws. You may not copy, modify, or distribute our Platform without explicit written consent.

Your Content. You retain ownership of any data, documents, or content you upload to the Platform ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process that content solely to provide the services described herein.

AI Outputs. Proposal drafts and other AI-generated content produced by the Platform using your inputs are provided to you for your use. You are responsible for reviewing, editing, and taking responsibility for any content you submit to government agencies.

6 AI-Generated Content Disclaimer

You acknowledge and agree that:

• AI-generated proposals and documents must be reviewed and verified by qualified personnel before submission to any government agency
• We make no warranty that AI outputs are accurate, complete, or compliant with applicable procurement regulations
• Any proposal submitted to a government agency is submitted solely by you, and you bear full legal responsibility for its contents
• We are not liable for any disqualification, penalty, or legal consequence arising from a proposal prepared with the assistance of our Platform

7 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED
• WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• IN NO EVENT SHALL LEADFLOW AI AUTOMATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

8 Termination

By You. You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused time.

By Us. We reserve the right to suspend or terminate your account immediately, without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or posed a risk to the Platform or other users.

Effect of Termination. Upon termination, your right to access the Platform ceases immediately. Provisions relating to intellectual property, liability limitations, and governing law survive termination.

9 Privacy Policy

We are committed to protecting your personal information. This section summarizes our data practices.

Data We Collect:

• Account data: name, email, company, phone number provided at registration
• Usage data: pages visited, features used, session duration, and API interactions
• Uploaded content: solicitation documents and files you upload for processing
• Payment data: handled and stored by Stripe; we receive only non-sensitive billing summaries

How We Use Your Data:

• To provide and improve the Platform services
• To communicate with you about your account and service updates
• To process payments and prevent fraud
• To comply with legal obligations

Data Sharing. We do not sell your personal data. We may share data with third-party service providers (e.g., Stripe for payments, OpenAI for AI processing, cloud infrastructure providers) solely to provide services. All third parties are contractually bound to protect your data.

Data Retention. We retain account data for the duration of your account and for up to 90 days after termination. Uploaded documents may be purged sooner based on plan limits.

Your Rights. You may request access to, correction of, or deletion of your personal data by contacting privacy@leadflowaiautomation.com. We will respond within 30 days.

Security. We implement industry-standard security measures including TLS encryption, access controls, and regular security reviews. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

Cookies. We use essential cookies to operate the Platform (session management, authentication). We do not use advertising or tracking cookies.

10 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Texas. You waive any right to a jury trial or class action proceeding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
